Cradle Calls CLI Private Beta Terms

_Last updated: 6 October 2026_

1. Application

1.1 These Beta Terms apply to your access to and use of the Beta Service. They supplement, and form part of, the Cradle Terms of Use published at https://www.cradle.io/terms (the Terms), including the Data Processing Agreement set out in the Terms (the DPA). Our Privacy Policy at https://www.cradle.io/privacy-policy also applies.

1.2 By installing the CLI Software, creating a CLI Token, or otherwise accessing or using the Beta Service:

  1. you agree to be bound by these Beta Terms; and
  2. where you do so on behalf of another person (for example, the organisation that holds your Cradle account), you confirm that you are authorised to, and do in fact, agree to these Beta Terms on that person's behalf, and that person is bound by them.

1.3 If you do not agree to these Beta Terms, you are not authorised to access or use the Beta Service and you must immediately stop doing so and delete the CLI Software.

1.4 Capitalised terms not defined in these Beta Terms have the meanings given in the Terms.

2. Definitions

In these Beta Terms:

Agent means any software that uses a CLI Token or the CLI Software on your behalf, including an artificial-intelligence assistant, script, scheduled job or automation, whether operated by you or by a third party. An Agent that uses a third-party artificial-intelligence service to process instructions or Data is still operating solely on your behalf, provided that the CLI Token and the CLI Software stay on infrastructure you control under clause 3.4 and are not disclosed to that service. Clause 7.2 applies to any Data the Agent shares with that service.

Beta Period means the period starting when you first access the Beta Service and ending when we end the beta under clause 10.

Beta Service means the pre-release Cradle Calls CLI and the related parts of the Service that it uses, including the CLI Software, the calls and reporting interfaces it calls, the hosted sign-in and access pages, and the agent instruction file (the "skill") we supply with it.

CLI Software means the cradle-calls command-line software package, in any version we make available to you, and any documentation we supply with it.

CLI Token means a personal access credential issued through the Beta Service that allows the CLI Software, or an Agent, to access the Beta Service as a particular user.

Organisation-Wide Access means a setting, available only to a user who is an administrator of your account, that allows a CLI Token to read transcripts, summaries and/or recording details of calls in your account that the user did not take part in.

3. Licence to the CLI Software

3.1 Subject to your compliance with the Terms and these Beta Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence, during the Beta Period, to install and use the CLI Software solely for your internal business purposes in connection with your use of the Service.

3.2 You must not, and must ensure that your personnel and Agents do not:

  1. copy, distribute, publish, sell, sublicense or make the CLI Software or any CLI Token available to any third party, other than to an Agent operating solely on your behalf in accordance with these Beta Terms or as clause 3.4 permits;
  2. modify, adapt, translate or create derivative works of the CLI Software, or decompile, disassemble or reverse engineer it, except to the extent that applicable law expressly permits this despite this restriction;
  3. remove or alter any notice of ownership, licence or confidentiality in the CLI Software;
  4. circumvent, disable or interfere with any security, access-control, rate-limiting or usage-limiting feature of the Beta Service, including IP address restrictions; or
  5. use the Beta Service to build or benchmark a competing product or service, or to extract Data in bulk for any purpose other than your own internal business use.

3.3 All Intellectual Property Rights in the CLI Software and the Beta Service remain with us or our licensors. Clause 12 of the Terms applies to the Beta Service.

3.4 Copies needed to run the CLI Software. Clause 3.2.1 does not prevent you from making copies of the CLI Software, or from storing a CLI Token, to the extent reasonably necessary to install and run the CLI Software on devices, servers, virtual machines or containers that you control (including infrastructure hosted for you by a third-party provider), for use by you or an Agent operating solely on your behalf. This includes copies in container or virtual-machine images, private source code repositories and private package registries, and a CLI Token held in an environment variable, a secrets manager or a credentials file on that infrastructure. In each case you must:

  1. limit access to each copy and each CLI Token to your personnel and Agents who need it;
  2. ensure any third-party hosting provider is bound by confidentiality and security obligations no less protective than those in these Beta Terms;
  3. not make any copy available to the public or to any other third party; and
  4. delete every copy when clause 10.3 applies.

4. Nature of the beta

4.1 The Beta Service is a pre-release product. You acknowledge that it may contain errors, may not perform as described, and may be changed, suspended or withdrawn, in whole or in part, at any time and without notice.

4.2 No service levels, support commitments or availability targets apply to the Beta Service. We will use reasonable efforts to respond to reports you send to help@cradle.io.

4.3 We may, but are not required to, release the Beta Service or any part of it generally. Any general release may be on different terms, including for Fees.

4.4 If you give us feedback, suggestions or ideas about the Beta Service, you grant us a royalty-free, perpetual, irrevocable, worldwide licence to use them for any purpose, without obligation to you. Clause 12.3 of the Terms also applies.

5. CLI Tokens and security

5.1 A CLI Token is a secret that can be used to read Data, including Recordings and AI Outputs. You are responsible for:

  1. keeping every CLI Token issued to your personnel secret and secure, and not sharing it with anyone other than an Agent operating solely on your behalf;
  2. all access to, and use of, the Beta Service made using a CLI Token issued to your personnel, whether or not that access or use was authorised by you;
  3. the acts and omissions of every Agent that uses a CLI Token or the CLI Software on your behalf, as if they were the acts and omissions of your personnel; and
  4. revoking a CLI Token without delay if you know or suspect that it has been lost, disclosed or misused, and notifying us at help@cradle.io.

5.2 We strongly recommend that you restrict each CLI Token, and your organisation's CLI access, to the static IP address or addresses from which it is used, and nothing else. Where a CLI Token is used by an Agent, we recommend that you restrict it to the network on which that Agent runs, and nothing else, preferably at the location from which you ordinarily work.

5.3 Any loss, disclosure or misuse of a CLI Token, and any resulting unauthorised access to or disclosure of Data (including any privacy breach), is your responsibility, except to the extent that it was caused by our breach of the Terms, these Beta Terms or the DPA. To avoid doubt, we are not liable for any loss or damage arising from the use of a CLI Token by any person who obtained it from you, your personnel or your Agents.

5.4 Where a loss or misuse of a CLI Token results in a privacy breach involving personal information in your Data, you are responsible for assessing and notifying that breach as required by the Privacy Act 2020 (and, where applicable, the Privacy Act 1988 (Cth) or other Data Protection Laws). We will provide reasonable assistance in accordance with the DPA.

5.5 We may revoke or suspend any CLI Token, or restrict the Beta Service, at any time if we reasonably believe it is being misused, is at risk of misuse, or is being used in breach of the Terms or these Beta Terms. Clause 17 of the Terms applies.

6. Organisation-Wide Access

6.1 Organisation-Wide Access can be enabled only by an administrator of your account and only for a CLI Token that is restricted to specific IP addresses. It expires no later than 30 days after it is enabled and stops working if the user who enabled it stops being an administrator.

6.2 By enabling Organisation-Wide Access, you confirm, on behalf of the organisation that holds your account, that:

  1. you have considered who will be able to read your organisation's calls using the CLI Token, including any Agent;
  2. the organisation has a lawful basis, and has given any notices and obtained any consents required by the Privacy Act 2020 and any other applicable law or internal policy, for that access and for any processing of the Data by any Agent; and
  3. you accept responsibility, on the organisation's behalf, for all access made using that CLI Token.

6.3 We record the use of Organisation-Wide Access against the user who enabled it. Other administrators of your account can see and revoke CLI Tokens with Organisation-Wide Access.

7. Data

7.1 Data accessed through the Beta Service remains Data for the purposes of the Terms and the DPA while it is held in the Service.

7.2 When you, your personnel or an Agent retrieve Data through the Beta Service, that copy leaves the Service. You are responsible for that copy, including where it is stored, who can access it, and its use and disclosure by any Agent or any third-party product or service (including any artificial-intelligence provider) that you choose to use. Clause 5.7 of the Terms applies to that sharing as if the Agent or third-party product were an Integration.

7.3 The Beta Service reads Data that is already held in the Service. It does not add a new subprocessor. Our current subprocessors are listed at https://www.cradle.io/subprocessors.

8. Fees

8.1 No Fees are payable for the Beta Service during the Beta Period.

8.2 If we decide to charge for the Beta Service, we will give you at least 30 days' notice. You may stop using the Beta Service before any Fee applies, and you will not be charged unless you continue to use it after the Fee takes effect.

9. Warranties and liability

9.1 To the maximum extent permitted by law, the Beta Service is provided "as is" and "as available", without any warranty, condition or guarantee of any kind, and clause 14.2 of the Terms applies to the Beta Service.

9.2 You are acquiring the Beta Service for the purposes of trade. Clause 14.3 of the Terms (the Consumer Guarantees Act 1993 does not apply) and clause 20.10 of the Terms (including its contracting out of sections 9, 12A and 13 of the Fair Trading Act 1986 under section 5D of that Act) apply to the Beta Service. The parties agree that it is fair and reasonable that they are bound by this clause 9.2.

9.3 Clause 15 of the Terms (Liability) applies to the Beta Service. Nothing in these Beta Terms limits any liability that cannot be limited or excluded by law.

10. Term and termination

10.1 These Beta Terms apply from when you first access the Beta Service until the earlier of:

  1. the date we end the beta, by notice to you or by making the Beta Service generally available on other terms; and
  2. the date the Terms end for you.

10.2 You may stop using the Beta Service at any time. We may end your participation in the beta at any time by notice to you.

10.3 When the Beta Period ends for you, all licences under these Beta Terms end, we may revoke all CLI Tokens issued to your personnel, and you must stop using and delete the CLI Software.

10.4 Clauses 3.3, 3.4.4, 5.1, 5.3, 5.4, 6.2, 7.2, 9 and this clause 10.4 survive the end of these Beta Terms.

11. General

11.1 If there is any inconsistency between these Beta Terms and the Terms, these Beta Terms prevail, but only in relation to the Beta Service and only to the extent of the inconsistency. Nothing in these Beta Terms overrides the DPA or clause 15.3 of the Terms.

11.2 We may change these Beta Terms in accordance with clause 2 of the Terms.

11.3 Details of the Beta Service that we have not made public are our Confidential Information. Clause 13 of the Terms applies.

11.4 Clause 20 of the Terms (General), including the governing law of New Zealand, applies to these Beta Terms.

11.5 These Beta Terms are published by Cradle Limited, company number 5953070. Notices under these Beta Terms may be sent to legal@cradle.io.
